About this role: Associate Director/Director, Legal Affairs

We are seeking an Associate Director / Director, Legal Affairs to provide general cross functional support contract negotiation and management for all functions, including without limitation: Commercial, Supply Chain, Tech Ops, Research & Discovery, Clinical, IT and Facilities. The primary responsibilities of the Associate Director / Director, Legal Affairs will be drafting, reviewing, revising, and negotiating general corporate agreements as well as leading contract execution and maintenance efforts. We are seeking a dynamic and collaborative life sciences professional who wants to contribute to the growth of a thriving, fast-paced biotech company.

  • Lead the negotiating and drafting of contracts customary to a fast-growing biotech company in the process of launching its first product, with a primary focus on clinical and day-to-day contracts (i.e., services, consulting, supply, confidentiality, research and data-related agreements).
  • Develop and cultivate collaborative relationships with cross-functional stakeholders to effectively communicate challenges and opportunities and deliver solutions, as needed
  • Provide legal support across the organization, including quickly and effectively identifying complex legal and compliance issues and providing advice in a manner that integrates legal risk management with the Company’s business objectives
  • Develop and maintain strong business relationships across the Company and contribute to cross-functional or departmental projects and teams.
  • Manage and complete any additional projects or legal matters as needed, including general corporate matters.
  • Manage the corporate insurance programs including D&O, P&C and multiple builders risk policies.



  • College degree and at least five years of biotechnology or pharmaceutical company legal experience.
  • Experienced providing corporate transactional support to the legal team and other internal functions, which may include data room management, due diligence requests and coordinating and assisting with document review, drafting resolutions, certificates and other closing documents, and preparing and tracking signature pages.
  • Knowledgeable about management of corporate subsidiaries, including filing of annual franchise tax reports and foreign business registrations, procurement of certificates of good standing and drafting and maintenance of corporate entity organizational and governance documents.
  • Familiarity with corporate governance documents and records, including board and committee minutes, consents and other corporate filings.
  • Familiarity with contractual issues and drafting contracts (including, but not limited to confidential/non disclosure agreements; vendor service agreements; consultant agreements; material transfer agreements; academic research collaboration agreements; technology transfer agreements; research service agreements; investigator- sponsored study agreements; expanded access / compassionate use agreements; clinical trial agreements; etc.
  • Experienced in implementing and utilizing contract management systems.
